TNC Dividend Policy

1. Basis: In accordance with Articles 26, 27, and 27-1 of the Company's Articles of Incorporation.

2. Dividend Policy:

1. Given the volatile nature of the industry and the Company's stable growth phase, to meet operational needs and maximize shareholder interests, dividends will be allocated based on the annual distributable earnings after considering capital expenditures and funding requirements. Cash dividends take priority, though stock dividends may also be distributed. Cash dividends shall not be less than 50% of the total dividend distributed in any given year.
2. If the Company records a profit for the year, no less than 0.5% shall be allocated as employee remuneration for onshore employees, which may be distributed in cash or shares upon Board resolution. The recipients may include eligible employees of subsidiaries. Up to 1.5% of the profit may be allocated as remuneration for directors and supervisors, subject to Board resolution. These distribution matters must be reported to the shareholders' meeting. However, if the Company has accumulated losses, they must be covered before any remuneration allocation.
3. If the annual accounts show a profit, the Company shall first pay taxes and make up for accumulated losses, then allocate 10% to legal reserves unless the reserve has reached the paid-in capital. Special reserves shall be allocated or reversed as required by law. The remaining earnings, together with undistributed earnings, will be proposed by the Board for shareholder dividend distribution at the shareholders' meeting.
